Jammin' Alpacas Whitepaper

DRAFT — May 2026 (v2.5)

This is a working draft of the Jammin' Alpacas Whitepaper. The final version, including the completed CertiK security audit and securities counsel review, will be published prior to mainnet launch and prior to any public token sale. Please refer to Section 13 (Legal Disclaimer) for the full legal framework governing this document. Readers should not rely on any statement in this draft for purposes that require finalized terms.

Issued by: Jammin Alpacas LLC, a Delaware Limited Liability Company Principal Office: 120 Eagle Rock Avenue, Suite 155, East Hanover, NJ 07936

1. Introduction

Music doesn't live in any one place anymore. It's scattered across streaming services, festivals, record stores still hanging on, and the corners of the internet where fans, musicians, and industry people show up to do the work of caring about it. The Music Hall of Fame Club is a place that brings those people together — a clubhouse for music fans, musicians, collectors, tapers, and the industry members who make the scene move.

Jammin' Alpacas is the founding membership community of the Music Hall of Fame Club, operated by Jammin Alpacas LLC. The Club is built around four connected properties:

  • Music Hall of Fame Club at musichofc.com — the institutional home of the Club
  • Jammin' Alpacas at jamminalpacas.com — the founding membership community, anchored by the Jammin' Alpacas NFT collection
  • The Merch Table at merch.musichofc.com — the Club's merch and collectibles store
  • The Jammin' Review at jamminreview.com — the Club's music video archive and discovery platform

The JPACA token is the utility asset that powers participation across the ecosystem. Built on the BASE Layer-2 network, JPACA is designed for accessibility — low transaction costs, fast confirmation times, and a fixed supply that won't be diluted later.

This whitepaper covers what JPACA is, how it works, the technology supporting it, the ecosystem it powers, and what's coming next.

2. Vision

The Music Hall of Fame Club is a music-focused ecosystem built for the long road. The vision is to be the place music people actually want to hang out — a clubhouse where fans, musicians, collectors, tapers, and industry members come together to do the work of caring about music. That's the long game.

We've built the foundation already. The Music Hall of Fame Club exists today as a fully modeled 3D environment, rendered in Unreal Engine. The four founding Alpaca characters are 3D models. The Club venue is modeled. The Merch Table is shipping. The Jammin' Review's archive infrastructure is in place. None of this is a roadmap promise — it's the ground we're standing on.

The vision builds outward from here:

  • An immersive Music Hall of Fame Club — extending the existing 3D environment into an interactive members-only space where Jammin' Alpacas NFT holders can gather, explore, and experience the Club inside the world we've already built
  • A growing creative ecosystem — collaborations with artists, instrument makers, labels, tapers, and venues, with The Jammin' Review serving as the discovery engine
  • A digital identity grounded in craftsmanship — the hand-designed Alpaca characters carry intentional musical meaning across the ecosystem, on- and off-chain
  • A long-term home for music people — built first, expanded steadily, never sold on hype

We envision a future where a Jammin' Alpacas NFT is more than a collectible — it's a membership pass to the Music Hall of Fame Club, a recognized digital identity, and a way for music fans to belong to a real community built for them.

3. Mission

Our mission focuses on delivering meaningful value across the ecosystem through strategic innovation and community engagement. The mission can be broken into five core pillars:

A) Connecting Music People Across the Industry

Music is a community sport. Fans, musicians, tapers, partners, labels, venues, instrument makers — they all want to find each other and find what's next. Most platforms do a bad job at this. Streaming services tell you what's already big. Social media surfaces what the algorithm thinks you'll click. Festival lineups give you what you already heard about.

The Music Hall of Fame Club closes that gap. The Jammin' Review is a music video archive and discovery platform where musicians and tapers share their work, where members come to find what's next, and where industry people can identify artists worth their time. The Club itself — built today as a 3D environment in Unreal Engine — is being extended into an immersive members-only space where Jammin' Alpacas NFT holders can gather, explore, and experience the world we've built. Together, they create an inclusive home for music people that doesn't currently exist anywhere else.

B) Building a Token Economy That Earns Its Keep

A lot of Web3 projects launch on hype and have nothing left once the buzz fades. We're not interested in that. JPACA is a utility token — it's what people use when they shop The Merch Table, transact across the ecosystem, and qualify for a free Jammin' Alpacas Founding Membership NFT at the time of purchase.

That last part matters. The Founding Membership NFT received with a qualifying token purchase is a one-time bonus that delivers ongoing consumer value: it's the digital pass to the Music Hall of Fame Club, and it comes with a holder discount at The Merch Table — the kind of perk you'd expect from a loyalty card at a real-world venue. The value lives in actual ecosystem usage and the membership credential, not in passive token holding.

C) Enabling True Digital Ownership

True digital ownership is a core pillar of the Jammin' Alpacas ecosystem. Each NFT acts as a user's personal identity asset, giving them complete control over how it is used, displayed, or transferred. Unlike centralized avatar systems in traditional digital platforms, users fully own their Alpaca avatars on-chain, with no reliance on third-party permissions or platform restrictions. This ownership extends across Web3, allowing holders to use their NFT in multiple environments, including future metaverse spaces, partnered platforms, and community-driven applications. By empowering users with a verified, transferable digital identity, we ensure lasting value, freedom, and interoperability within the ecosystem.

D) Growing a Collaborative, Inclusive Community

A strong, inclusive community is the foundation of the Jammin' Alpacas ecosystem. We believe every member should feel valued, empowered, and connected. Our goal is to create an environment where users can openly share ideas, collaborate on creative initiatives, and meaningfully influence the project's direction. Whether through content creation, event participation, or artistic contributions, members play an active role in shaping the platform's future. To recognise and encourage this participation, we reward engagement with exclusive opportunities, digital assets, and ecosystem benefits. By promoting collaboration and inclusivity, we ensure the community grows sustainably and remains at the heart of every decision.

E) Extending the Club Into an Immersive Space

The Music Hall of Fame Club exists today as a fully modeled 3D environment, with the Club venue and the four founding Alpaca characters built in Unreal Engine. The world is built. The next chapter is making it interactive — extending the existing 3D environment into a members-only space where Jammin' Alpacas NFT holders can gather, explore the Club, and experience the place they've been given the keys to.

This isn't a metaverse promise built on a slide deck. It's the next phase of work that builds on a real production foundation. As the immersive Club develops, the Jammin' Alpacas NFT remains what it always was: a digital membership pass with defined consumer utility. The interactive Club is what that pass eventually opens — beyond the website, beyond the ecosystem properties already operating, into a space that feels like the venue we've been describing all along.

4. Blockchain Integration: BASE

The Music Hall of Fame Club ecosystem is built on BASE — Coinbase's Ethereum Layer-2 network. The choice of BASE matters: it shapes how cheaply members can transact, how confidently their assets are secured, and how smoothly the ecosystem scales as the community grows. Below we describe what BASE delivers and why it's the right foundation for an entertainment ecosystem designed for active, ongoing use.

Why BASE Is the Right Blockchain for the Music Hall of Fame Club

A) Transaction Cost Efficiency

High gas fees often limit Web3 interaction, discouraging users from participating in token-driven ecosystems. BASE solves this by dramatically lowering transaction costs, making everyday actions such as NFT interactions, reward claims, and token transfers affordable and accessible. This cost efficiency encourages consistent engagement and supports large-scale community participation across the platform.

B) Ethereum-Backed Security

BASE operates using Optimistic Rollups, allowing all transactions to ultimately settle on Ethereum's Proof-of-Stake blockchain. This gives the Jammin' Alpacas ecosystem reliable, battle-tested security without sacrificing performance. Users benefit from fast transactions on BASE while still enjoying Ethereum's proven protection against manipulation, ensuring trust, integrity, and long-term network stability.

C) Full EVM Compatibility

BASE is fully compatible with the Ethereum Virtual Machine, enabling Ethereum-based smart contracts to deploy effortlessly without modification. This ensures easy development, smooth upgrades, and broad compatibility with existing Web3 tools, wallets, and decentralized applications. It also allows future integrations and expansions to occur seamlessly across the broader Ethereum ecosystem.

D) High Scalability

Jammin' Alpacas relies on frequent token use, reward claims, and metaverse interactions, all of which require fast, reliable infrastructure. BASE delivers high scalability, supporting thousands of transactions with low latency. Even during peak activity, users enjoy smooth performance, ensuring the ecosystem can grow without technical limitations or congestion issues.

E) Future-Proof Infrastructure

BASE continues to expand alongside Coinbase's ecosystem and the broader OP Stack, ensuring long-term technological stability. As these networks evolve, BASE benefits from continuous upgrades, enhanced features, and expanding developer support. This future-proof infrastructure positions Jammin' Alpacas for ongoing innovation, seamless scalability, and compatibility with next-generation Web3 advancements.

5. Consensus Mechanism

BASE operates using Optimistic Rollup technology, enabling fast, low-cost transactions while relying on Ethereum's Proof-of-Stake consensus for final security. This hybrid approach delivers high performance without sacrificing decentralization. Transactions execute quickly on BASE, then finalize on Ethereum, ensuring both efficiency and trustlessness across the entire Jammin' Alpacas ecosystem.

Key Components of BASE's Consensus Model

A) Ethereum PoS Finality

Although transactions occur on BASE, the final validation and security come from Ethereum. This ensures:

  • Immutable transaction history
  • Resistance to manipulation
  • Reliable settlement

B) Sequencer-Based Batch Processing

BASE uses a sequencer node to order transactions. The sequencer optimises user experience while maintaining alignment with Ethereum's state. This allows:

  • Instant confirmations
  • Faster block production
  • Low latency

C) Fraud-Proof Mechanisms

Optimistic Rollups assume transactions are valid unless challenged. During the challenge window, validators can present fraud proofs if they identify inconsistencies. If fraud is detected:

  • Invalid transactions are reverted
  • Malicious actors lose staked assets

This mechanism ensures economic security without sacrificing performance.

6. The Problem

Music has more passionate communities than almost any other cultural domain — fans, musicians, tapers, collectors, instrument makers, labels, venues, industry professionals. Yet there is no dedicated home where they can find each other, recognize each other, and trade real value for real participation. The infrastructure that exists today fragments these communities and underserves them. The Music Hall of Fame Club ecosystem is built to address the specific structural gaps described below.

A) The Music Industry Lacks a Home for Its Broader Community

The music industry has a Hall of Fame for the legends, streaming services for the hits, and festivals for the season. What it lacks is a dedicated home for everyone else — the lifelong fans, the garage bands, the gigging musicians, the tapers, the collectors, the gear heads, the bedroom producers who will be tomorrow's headliners. These music people sustain the culture between the headlines. They have no central place to gather, share, recognize one another, or be recognized in return.

B) Music UGC Is Fragmented Across Platforms Not Built for Music

Music video content lives across YouTube, Instagram, TikTok, and a dozen other platforms — none of which were designed with music rights, taping culture, or industry discovery in mind. Uploaders face rights uncertainty. Rights holders have limited tools to engage with fan-generated content. Discovery is driven by general-purpose algorithms optimized for retention and ad revenue, not music quality or industry relevance. The result is a creative space that has no platform truly serving its participants.

C) Industry Discovery Remains Gatekept

Emerging musicians have limited access to the industry professionals who can advance their careers — A&R representatives, label scouts, venue bookers, instrument makers, established artists. The discovery pipeline runs through personal networks, paid placements, and gatekeepers. Talent that does not already have access does not get discovered, regardless of merit. There is no platform where industry professionals can browse curated, community-vetted talent in a transparent way.

D) Most Web3 Projects Sell Promises Instead of Products

Many Web3 entertainment projects launch with marketing, not deliverables. Once initial excitement fades, holders find no working product, no real utility, and no actual reason to remain engaged. This pattern has eroded trust across the entire space and made it harder for projects with real substance to be heard. The pattern repeats because the model rewards launching early and shipping later. We have built the opposite way.

E) High Gas Fees Suppress Real Engagement

On Ethereum mainnet, simple interactions — minting NFTs, transferring tokens, executing on-chain transactions — can cost more than the underlying activity warrants. This suppresses the day-to-day engagement that makes a community feel alive. A music ecosystem designed for casual, ongoing participation cannot tolerate transaction costs that price out the user. BASE addresses this directly: the Layer-2 network reduces gas costs by orders of magnitude, making participation economically viable at any tier.

F) Most Token Economies Are Built on Rewards, Not Use

Many Web3 token economies rely on inflationary reward distributions that flood the market and devalue the token over time. These structures attract short-term speculation rather than long-term participation. They also raise legitimate concerns under U.S. securities frameworks, particularly when rewards scale with passive holding rather than active use. JPACA is structured differently: it is a utility token paired with a one-time purchase bonus. Value is generated through use, not through passive entitlements.

7. Our Solutions

The Music Hall of Fame Club ecosystem is four connected properties operating today. The Club itself, modeled in 3D and ready to welcome members. The Jammin' Alpacas NFT collection, hand-crafted with musical meaning in every trait. The Merch Table, an operational Shopify-based merch and collectibles store. The Jammin' Review, a music video archive and discovery platform with full content policies and operational infrastructure. We didn't want to launch on promises — we wanted to launch on real ground. So we built first.

A) The Music Hall of Fame Club — The Clubhouse

The Club is the institutional home of the ecosystem. It's the venue every member walks into. The Music Hall of Fame Club exists today as a fully modeled 3D environment, with the Club itself and the four founding Jammin' Alpacas characters built in Unreal Engine. The 3D production foundation is already in place — the world is built. What comes next is making it interactive: gated members-only spaces, eventual immersive experiences, live moments inside the Club. The roadmap for the immersive Musical Metaverse Experience extends an existing 3D foundation rather than building one from scratch.

B) Jammin' Alpacas — Hand-Crafted Founding Membership NFTs

The Jammin' Alpacas NFT collection is the founding membership of the Music Hall of Fame Club. Every NFT is a digital membership pass. Every trait — instrument cameos, character details, props, posing, accessories — is hand-designed with intentional musical meaning. These aren't algorithmically assembled. They're the product of detailed creative work, with iconic instrument references and musical character built into the artwork.

The Jammin' Alpacas NFT is delivered through the Mystery Box reveal experience described in Section 7C below, with rarity tiers that reflect trait scarcity. Every NFT — regardless of rarity tier — grants the same Club access and the same ecosystem benefits.

C) The Mystery Box Reveal — How Founding Members Get Their NFTs

Customers who purchase JPACA at a qualifying tier amount receive a free Mystery Box as a one-time bonus at the time of purchase. Inside is a Jammin' Alpacas NFT — but which one is a surprise. The reveal moment is part of the experience: the box opens, the NFT is unveiled, and the holder sees their unique Alpaca character for the first time. The mechanic borrows from the blind-box collectible format that's lit up other corners of the collectibles world — that mix of anticipation, reveal, and the thrill of finding out what landed in your hands.

Each Jammin' Alpacas NFT comes from one of four rarity pools, matched to the qualifying purchase tier:

  • Floor — purchase $12.50 in JPACA; common trait combinations
  • Balcony — purchase $25.00 in JPACA; uncommon trait combinations
  • Backstage — purchase $50.00 in JPACA; rare trait combinations
  • Afterparty — purchase $100.00 in JPACA; rarest trait combinations

The rarity tiers reflect trait scarcity within the collection — the same way any major NFT collection has common traits, uncommon traits, and one-of-a-kind combinations. Rarity affects collectibility and how an NFT trades on the secondary market.

What it doesn't affect is access. Every Jammin' Alpacas NFT — Floor through Afterparty — grants the same Music Hall of Fame Club membership and the same Merch Table holder discount. Whether you grabbed a Floor at $12.50 or pulled an Afterparty at $100, you walk in the same door, you get the same perks. Rarity is for collectors. The pass is for everyone.

D) The Merch Table — The Club's Storefront

The Merch Table is the Club's merchandise and collectibles store, operating today at merch.musichofc.com. It's a multi-brand commerce platform stocked with vinyl, turntables, Funko POPs, Jammin' Alpacas exclusives, and the kind of finds you wander into and leave an hour later with too many bags. The Merch Table is the real-world commerce arm of the Music Hall of Fame Club — operational and shipping today.

Holders of Jammin' Alpacas Founding Membership NFTs receive a holder discount at The Merch Table — the same way a loyalty card works at any retailer. The discount applies to all NFT holders equally, regardless of rarity tier.

E) The Jammin' Review — The Music Discovery Platform

The Jammin' Review is the Club's music video archive and discovery platform, operating today at jamminreview.com. It's where musicians, bands, partners, and tapers share their work, and where Music Hall of Fame Club members come to discover what's next. The platform is built with full operational policies in place: Uploader Terms, DMCA Policy, Music Licensing, Voting and Spotlight features, and Content Moderation.

The Jammin' Review is what fills the gap left by streaming services and social media for music UGC: a dedicated home for music video content, with rights structures and discovery tools designed specifically for the music community rather than for general video.

F) BASE-Powered Infrastructure

By building on BASE, the Music Hall of Fame Club ecosystem benefits from fast, low-cost transactions that make daily user engagement effortless. BASE eliminates the barriers caused by high gas fees, enabling NFT interactions, JPACA token transactions, and on-chain operations to occur smoothly. BASE ensures the entire ecosystem remains accessible, efficient, and ready for large-scale adoption.

Smart Contract Audit

The JPACA smart contract is undergoing security audit by CertiK, an independent third-party security audit firm. The completed audit report will be made publicly available prior to mainnet launch and prior to any public token sale. The audit covers contract logic, access controls, the administrative functions described below, and standard ERC-20 implementation correctness.

Administrative Functions and Governance Disclosure

The JPACA smart contract includes the following administrative functions:

  • Burn — permanently removes tokens from circulation. May be used to manage circulating supply over time.
  • Freeze — restricts transfers from a specific wallet address. Intended for use only in cases of suspected wallet compromise, court order, or law enforcement request.
  • Pause — temporarily halts all token transfers contract-wide. Intended for use only in cases of identified smart contract vulnerability, active exploit response, or other emergency conditions requiring suspended ecosystem-wide activity.

These functions are operated by Jammin Alpacas LLC. The Company acknowledges that administrative functions of this kind introduce centralization risk into the ecosystem. To mitigate this risk and provide transparency to holders:

  • Administrative function exercise will be documented and disclosed promptly through official Music Hall of Fame Club channels.
  • The Company commits to exercising these functions only as described above and only in good faith for the protection of the ecosystem and its participants.
  • The CertiK audit report will include independent review of these administrative functions and the technical safeguards governing their use.
  • The Company is evaluating long-term governance approaches, including multi-signature controls and progressive decentralization of administrative authority, to be implemented in coordination with audit recommendations and ecosystem maturity.

Holders should be aware that, until administrative functions are placed under multi-signature or fully decentralized control, the Company retains the technical ability to exercise these functions. This is disclosed as a material aspect of holding JPACA.

Supply Disclosure

The JPACA total supply is fixed at 25,000,000,000 tokens. No additional tokens will be minted after initial deployment. The Burn function may reduce circulating supply over time but cannot increase it. This fixed-supply structure is implemented at the smart contract level and is not subject to administrative discretion.

9. Tokenomics

The JPACA token distribution is structured to fund ecosystem development, support liquidity, compensate contributors, and provide allocations for community participation programs. The total supply of 25,000,000,000 JPACA is distributed across the following categories:

Allocation Descriptions

Pre-Sale / Public Sale (32%). Tokens made available to the public through the JPACA token sale. Customers who purchase JPACA at qualifying tier amounts receive a free Mystery Box NFT bonus delivered through the blind reveal experience described in Section 7C. Proceeds from token sales fund ongoing development of the Music Hall of Fame Club ecosystem, including continued 3D production work, infrastructure costs, audit and legal expenses, marketing operations, and personnel costs.

Community Allocation & Mystery Box Bonuses (23%). Tokens reserved for community participation programs and the Mystery Box NFT bonus structure. This allocation funds the promotional bonus tokens delivered with qualifying JPACA purchases (the Mystery Box NFTs themselves are minted from a separate NFT contract; this allocation supports the operational cost of the bonus program and broader community engagement initiatives).

Liquidity (CEX/DEX Listing) (18%). Tokens reserved for centralized and decentralized exchange listings, market-making operations, and ongoing liquidity support for JPACA across trading venues.

Team & Advisors (10%). Tokens allocated to the founding team and advisors of Jammin Alpacas LLC. This allocation is subject to vesting and lockup schedules described below.

Marketing & Growth (10%). Tokens allocated to marketing operations, partner integrations, community-building campaigns, and growth initiatives across the four ecosystem properties.

Artists & Partners (7%). Tokens reserved for partnerships with artists, instrument makers, labels, venues, and other industry collaborators who contribute to the Music Hall of Fame Club ecosystem.

Vesting and Lockup Schedules

Tokens allocated to Team & Advisors and Marketing & Growth will be subject to vesting and lockup schedules to align long-term incentives and prevent market disruption. Specific terms — including lockup duration, vesting cliff, vesting period, and release schedule — will be finalized in coordination with the Company's securities counsel and disclosed in this whitepaper prior to public token sale.

Standard practice in token launches of this kind includes a 6-to-12-month lockup followed by linear vesting over 24 to 48 months. The Company intends to adopt vesting terms consistent with this market practice. Final terms will be encoded at the smart contract level where technically appropriate, and published transparently before any restricted tokens are eligible for transfer.

Use of Proceeds

Net proceeds from the JPACA token sale will be used by Jammin Alpacas LLC to fund continued development and operation of the Music Hall of Fame Club ecosystem, including but not limited to: smart contract development and audit costs, ongoing 3D production work, the four ecosystem properties' operational costs, legal and regulatory compliance, marketing operations, and personnel costs. The Company commits to operating the Music Hall of Fame Club ecosystem in good faith and in alignment with the goals described throughout this whitepaper.

10. Token Features & Utilities

A) Founding Membership NFT Bonus

Each JPACA purchase at a qualifying tier amount comes with a free Mystery Box bonus. The Mystery Box delivers a Jammin' Alpacas NFT through a blind reveal — no choosing, no picking, just the moment the box opens and you find out which Alpaca came home with you.

This one-time, purchase-linked bonus is the gateway to Music Hall of Fame Club membership. Every Jammin' Alpacas NFT functions as a digital membership pass, and every pass comes with the same benefits regardless of rarity tier:

  • Members-only access to the Music Hall of Fame Club at musichofc.com
  • Holder discount at The Merch Table (merch.musichofc.com), the same way a loyalty card works at a real-world venue
  • Recognition as a founding member of the Music Hall of Fame Club community

The four rarity tiers — Floor, Balcony, Backstage, Afterparty — reflect trait scarcity within the Jammin' Alpacas collection. They affect how an NFT trades on secondary markets but they don't change Club access or member benefits. A Floor holder and an Afterparty holder walk in the same door.

B) Token-Gated Experiences and Membership Access

JPACA and the Jammin' Alpacas Founding Membership NFT serve different functions across the ecosystem. It's worth being clear about which is which.

JPACA token uses:

  • Purchases at The Merch Table
  • Other in-ecosystem transactions
  • The qualifying purchase amount that delivers a free Mystery Box bonus and a Jammin' Alpacas NFT at the time of purchase

Jammin' Alpacas NFT uses:

  • Membership pass to the Music Hall of Fame Club at musichofc.com
  • Holder discount at The Merch Table — applied uniformly across all rarity tiers, the same way a loyalty card works at any retailer
  • Future access to the immersive Music Hall of Fame Club environment as that interactive layer extends the existing 3D foundation
  • Recognition as a founding member of the Music Hall of Fame Club community

The two work together. JPACA is the utility token that powers transactions. The Jammin' Alpacas NFT is the membership credential that opens doors. Each does a job — and what each does is defined plainly, here and across the rest of the ecosystem's documentation.

C) Smart Contract Security Features

The JPACA smart contract includes the administrative functions Burn, Freeze, and Pause. These functions and the governance terms surrounding them are disclosed in detail in Section 8 — Administrative Functions and Governance Disclosure. Holders are encouraged to review Section 8 to understand the operational scope, holder-protection commitments, and centralization-risk acknowledgments associated with these functions.

The CertiK smart contract audit referenced in Section 8 includes independent review of these administrative functions, the access controls governing them, and the standard ERC-20 implementation correctness. The completed audit report will be made publicly available prior to mainnet launch and prior to any public token sale.

12. Conclusion

The Music Hall of Fame Club is built for music people, by music people, on a foundation that already exists. The Club itself is modeled in 3D in Unreal Engine. The Jammin' Alpacas NFT collection is hand-crafted with intentional musical meaning in every trait. The Merch Table is operational and shipping. The Jammin' Review's archive infrastructure is in place. JPACA is the utility token that powers the ecosystem, audited by CertiK, deployed on BASE for affordable, scalable participation.

The four properties — the Club, the Founding Membership community, the Merch Table, and the Jammin' Review — work together to create what the music industry currently lacks: a real home for fans, musicians, tapers, collectors, and industry members. The Founding Membership NFT is the digital pass that opens the door, with equal access for every holder regardless of rarity tier. The token is what people use across the ecosystem. The Mystery Box bonus is the reveal moment that delivers the credential.

Jammin Alpacas LLC has chosen to build first and launch when the work is real. This whitepaper describes the ecosystem as it is and as we intend to extend it. We do not promise outcomes. We do not promise returns. We describe a music-focused community, a utility token, and a hand-crafted NFT collection — and we invite participants who share the values behind the work to join the Music Hall of Fame Club.

The Jammin' Alpacas NFTs are non-fungible tokens that function as digital membership credentials to the Music Hall of Fame Club. Each NFT grants the holder access to members-only Club features and a holder discount at The Merch Table. The four rarity tiers of Jammin' Alpacas NFTs (Floor, Balcony, Backstage, and Afterparty) reflect trait scarcity within the collection and may affect collectibility on secondary markets, but all rarity tiers grant identical Club access and identical ecosystem benefits. The Jammin' Alpacas NFTs are not designed as, intended to be, or marketed as investment products, securities, or yield-generating instruments. They are consumer products with defined utility, analogous to membership passes or loyalty credentials issued by retail and entertainment venues.

Forward-looking statements may include words such as "expects," "plans," "intends," "will," "may," "anticipates," "believes," "estimates," "projects," "continues," and similar expressions.

Forward-looking statements are based on the Company's current assumptions and involve known and unknown risks, uncertainties, and other factors that may cause actual results, events, or developments to differ materially from those expressed or implied in the forward-looking statements. The Company undertakes no obligation to update or revise forward-looking statements after the date of this whitepaper, whether as a result of new information, future events, or otherwise, except as required by law.

Readers are cautioned not to place undue reliance on forward-looking statements. Roadmap items described in Section 11 of this whitepaper, in particular, are subject to change, delay, or cancellation based on factors including but not limited to technical considerations, audit findings, regulatory developments, market conditions, and resource availability.

13.5 Jurisdictional Restrictions

The JPACA token and the Jammin' Alpacas NFTs are not offered, sold, or made available to persons in any jurisdiction in which such offer, sale, or availability would be unlawful or would require any registration, licensing, or other regulatory approval that the Company has not obtained. Without limiting the generality of the foregoing, the JPACA token and the Jammin' Alpacas NFTs are not offered, sold, or made available to:

  • Persons subject to economic sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the United Nations, the European Union, the United Kingdom, or any other applicable sanctions authority;
  • Persons resident in or otherwise subject to the jurisdiction of any country, region, or territory subject to comprehensive U.S. sanctions;
  • Any other persons for whom participation would violate applicable law in their jurisdiction of residence, citizenship, or domicile.

It is the responsibility of each prospective participant to determine whether their participation in the Music Hall of Fame Club ecosystem, including any acquisition of JPACA tokens or Jammin' Alpacas NFTs, is lawful in their jurisdiction. The Company does not assume responsibility for the legality of any participant's acquisition, holding, or use of JPACA tokens or Jammin' Alpacas NFTs under the laws of the participant's jurisdiction.

13.6 Risk Factors

Acquiring, holding, or using digital assets including JPACA tokens and Jammin' Alpacas NFTs involves significant risks. The following are material risks of which prospective participants should be aware. This list is not exhaustive.

Regulatory Risk. The legal and regulatory treatment of digital assets, utility tokens, and NFTs is uncertain and subject to change in many jurisdictions, including the United States. Future legislation, regulation, judicial interpretation, or enforcement action could materially affect the legal status, operation, or value of the JPACA token, the Jammin' Alpacas NFTs, or the Music Hall of Fame Club ecosystem.

Market Risk. The market price of JPACA tokens and Jammin' Alpacas NFTs, if any, will be subject to significant volatility. Digital asset markets are highly volatile, can be illiquid, and are subject to manipulation. Prospective participants should be prepared to lose the entire amount they pay for JPACA tokens or Jammin' Alpacas NFTs.

Technology Risk. The JPACA token and Jammin' Alpacas NFTs are implemented as smart contracts on the BASE Layer-2 network. Smart contracts can contain vulnerabilities, errors, or bugs that may be exploited, may behave unexpectedly under unforeseen conditions, or may be affected by issues with the underlying BASE network or the Ethereum mainnet to which BASE is anchored. While the Company has engaged CertiK to perform an independent security audit, no audit can guarantee the absence of vulnerabilities.

Smart Contract Administrative Function Risk. As disclosed in Section 8 of this whitepaper, the JPACA smart contract includes Burn, Freeze, and Pause administrative functions controlled by the Company. The exercise of these functions, while limited to the operational scope described in Section 8, introduces centralization risk and creates the possibility that holders may experience temporary or, in limited circumstances, permanent loss of access to or use of their tokens. Holders should review Section 8 carefully to understand the scope and governance of these functions.

Operational Risk. The Music Hall of Fame Club ecosystem is operated by Jammin Alpacas LLC, a privately-held Delaware LLC. The Company's ability to deliver on the plans described in this whitepaper depends on factors including continued financial resources, retention of key personnel, ongoing access to required technology and service providers, and continued market demand for the products and services described.

Custody and Wallet Risk. Participants are responsible for the secure custody of their JPACA tokens and Jammin' Alpacas NFTs. Loss of access to a wallet's private keys, loss of seed phrases, theft of credentials, or victimization by phishing or other fraud may result in permanent loss of the participant's tokens or NFTs. The Company cannot recover lost or stolen tokens or NFTs and is not responsible for participant custody decisions.

Roadmap Execution Risk. The Company's roadmap (described in Section 11) reflects current intentions and is subject to change for technical, regulatory, market, or operational reasons. Some roadmap items may be delayed, modified, or cancelled. Participants should not acquire JPACA tokens or Jammin' Alpacas NFTs based on the expectation of any specific future feature or capability.

Tax Risk. The tax treatment of digital asset transactions, including the acquisition of JPACA tokens, the receipt of Mystery Box NFT bonuses, and any transfer or disposition of these assets, varies by jurisdiction and is subject to ongoing change. Participants are solely responsible for determining and meeting their own tax obligations.

13.7 Tax Disclosure

The Company does not provide tax advice. Acquiring, holding, transferring, or disposing of JPACA tokens or Jammin' Alpacas NFTs may have tax consequences that vary based on the participant's jurisdiction, residency, and individual circumstances. In the United States, transactions involving digital assets are generally subject to taxation as property under guidance from the Internal Revenue Service. Receipt of an NFT as a promotional bonus, transfer of digital assets, and any sale or exchange of digital assets may each be a taxable event.

Participants are solely responsible for determining the tax treatment applicable to their participation, for maintaining adequate records of their transactions, and for paying any taxes owed. Participants should consult their own qualified tax advisors regarding their specific circumstances.

13.8 No Warranty; Disclaimer of Liability

The information in this whitepaper is provided "as is" and without warranty of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, the Company disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and uninterrupted or error-free operation.

To the maximum extent permitted by applicable law, in no event shall Jammin Alpacas LLC, its officers, directors, employees, agents, or affiliates be liable to any person for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or relating to (a) reliance on any information contained in this whitepaper, (b) the acquisition, holding, transfer, or disposition of JPACA tokens or Jammin' Alpacas NFTs, (c) the operation of the Music Hall of Fame Club ecosystem or any property within it, or (d) any failure of the BASE network, the Ethereum mainnet, any wallet provider, any exchange, or any other third-party service provider, even if the Company has been advised of the possibility of such damages.

13.9 No Fiduciary Relationship

Nothing in this whitepaper, in any communication from the Company, or in any participant's acquisition, holding, or use of JPACA tokens or Jammin' Alpacas NFTs creates a fiduciary, advisory, agency, partnership, joint venture, or employment relationship between the Company and any participant.

13.10 Third-Party References

This whitepaper may reference third-party services, platforms, networks, audit providers, or other entities (including without limitation BASE, Coinbase, Ethereum, CertiK, and the various ecosystem properties' technology providers). Such references are provided for informational purposes only and do not constitute endorsement of those third parties or any obligation by the Company with respect to those third parties' products, services, or operations. The Company is not affiliated with these third parties except as expressly disclosed.

13.11 Governing Law and Dispute Resolution

This whitepaper, and any disputes arising out of or relating to it, shall be governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to this whitepaper or the matters described herein shall be subject to the dispute resolution provisions set forth in the Music Hall of Fame Club Terms of Use available at musichofc.com/policies/terms-of-use, as such terms may be updated from time to time.
