How this License is structured

This document is the Music Hall of Fame Club NFT License Framework (the "Framework"). It establishes a single, consistent set of rules that govern every NFT collection issued under the Music Hall of Fame Club, including:

The Jammin' Alpacas Collection — described in Schedule A below
Any future collections admitted to the Music Hall of Fame Club, each of which will be added as a new Schedule under this same Framework

Holders of any Music Hall of Fame Club NFT receive the rights granted in Part I (Framework Terms) of this document, as modified by the Schedule for the specific collection they hold.

The Framework structure is intentional. It is designed to ensure that holders across all Music Hall of Fame Club collections have consistent, predictable rights, and to avoid the ambiguity that arises when each collection has its own bespoke license.

PART I — FRAMEWORK TERMS

These terms apply to every NFT collection issued under the Music Hall of Fame Club, except as expressly modified by a specific Collection Schedule.

1. Definitions

For purposes of this Framework:

"NFT" means a non-fungible token recorded on the Base blockchain or such other blockchain network as may be specified in a Collection Schedule, issued by Jammin Alpacas LLC under a Music Hall of Fame Club collection.
"Artwork" means the specific image, illustration, animation, audio, or other creative media file or files associated with a particular NFT, as identified by the metadata recorded on-chain at the time of issuance.
"Traits" means the individual visual, audible, or other distinguishing attributes that compose an Artwork (for example, an instrument, an outfit, a pose, an expression, or a background element).
"Collection" means a specific group of NFTs issued under the Music Hall of Fame Club, identified by a single smart contract address and described in a Collection Schedule attached to this Framework.
"Brand" means the names, logos, slogans, trade dress, and other identifying elements of the Music Hall of Fame Club and of each individual Collection (including but not limited to "Music Hall of Fame Club" and "Jammin' Alpacas"), all of which are owned by Jammin Alpacas LLC.
"Holder" means the person or entity that owns an NFT, as recorded on the applicable blockchain.
"Commercial Use" means any use of an Artwork for the purpose of generating revenue, including but not limited to the sale of physical or digital goods, the sale of services, advertising, sponsored content, brand partnerships, and licensing of any kind.
"Personal Use" means any use of an Artwork that is not Commercial Use, including display on personal websites, social media profiles, personal galleries, and personal physical or digital spaces.

2. What You Own When You Own an NFT

The Jammin' Alpacas NFT is, first and foremost, a membership credential. Ownership of the NFT establishes you as a member of the Music Hall of Fame Club Founding Membership Community and authorizes your access to gated experiences, events, content, holder benefits, and weighted participation rights across the Music Hall of Fame Club ecosystem. Future Music Hall of Fame Club Collections may serve a similar membership-credential function, as set out in their respective Collection Schedules.

The Artwork associated with each NFT is the visual representation of that membership and is yours to display and use within the limits of this Framework.

When you own a Music Hall of Fame Club NFT, you own the NFT itself — that is, the on-chain token recorded on the applicable blockchain.

Ownership of the NFT does not transfer ownership of:

The Artwork associated with the NFT (which remains the intellectual property of Jammin Alpacas LLC, subject to the limited license granted in Section 3)
Any Traits or Trait library used to compose the Artwork
The Brand of the Music Hall of Fame Club, the Brand of any Collection, or any related trademarks, service marks, or trade names
Any music, sound recordings, voice recordings, or other audio assets unless expressly granted in a Collection Schedule
Any other intellectual property of Jammin Alpacas LLC

Jammin Alpacas LLC retains all rights, title, and interest in and to the foregoing, including all rights not expressly granted in this Framework.

3. Personal Use License (Granted to All Holders)

Subject to your continued ownership of the NFT and your continued compliance with this Framework, Jammin Alpacas LLC grants you a worldwide, royalty-free, non-exclusive, non-transferable license to use, copy, display, and reproduce the Artwork associated with your NFT for Personal Use.

Personal Use includes, without limitation:

Displaying the Artwork on digital platforms, social media, or personal websites
Using the Artwork as a profile picture, avatar, or personal identifier
Showing the Artwork in personal galleries, physical or digital
Sharing the Artwork with friends, family, or community members in a non-commercial context
Creating non-commercial derivative works (such as fan art, personal edits, and remixes) for your own enjoyment or for non-commercial sharing within the Music Hall of Fame Club community

The Personal Use license is broad. We want Holders to enjoy and live with their Artwork.

4. Commercial Use License (Granted to All Holders, with Limits)

Subject to your continued ownership of the NFT and your continued compliance with this Framework, Jammin Alpacas LLC grants you a worldwide, royalty-free, non-exclusive, non-transferable license to use the Artwork associated with your NFT for Commercial Use, subject to the following conditions:

4.1 Annual Revenue Cap

Total gross revenue from Commercial Use of the Artwork associated with a single NFT must not exceed USD $100,000 per calendar year, calculated across all Commercial Use of that Artwork by all parties (including the Holder and any sublicensees, contractors, or partners). The cap is per NFT, not per Holder, and does not aggregate across multiple NFTs that the same Holder may own.

If your gross revenue from Commercial Use of a particular Artwork exceeds this cap, you must either:

(a) cease Commercial Use of that Artwork for the remainder of the calendar year, or (b) request an extended commercial license from Jammin Alpacas LLC by contacting policies@mhofc.com. Extended licenses are evaluated case-by-case and are not guaranteed.

4.2 Required Conditions

Commercial Use under this Section 4 must:

Be tied directly and specifically to the NFT you own (i.e., you may not use NFTs you do not own as part of your Commercial Use)
Comply with all applicable laws, regulations, and the rules of any platform on which the Commercial Use occurs
Not imply endorsement, sponsorship, partnership, or affiliation with Jammin Alpacas LLC, the Music Hall of Fame Club, or any Collection beyond the simple fact that you own a Music Hall of Fame Club NFT
Not use any element of the Brand (including the names "Music Hall of Fame Club" or "Jammin' Alpacas," any logos, or any trademark) other than to identify your specific Artwork by its commonly used identifier (for example: "Jammin' Alpaca #1234")
Not deceive or mislead any third party about the source or sponsorship of the Commercial Use

4.3 What Commercial Use Does Not Grant

Even within the cap and conditions above, the Commercial Use license does not grant:

Any rights to use the Brand, trademarks, or logos of Jammin Alpacas LLC, the Music Hall of Fame Club, or any Collection
Any rights to use Artwork associated with NFTs you do not own
Any rights to imply that your Commercial Use is approved, endorsed, sponsored, or affiliated with Jammin Alpacas LLC
Any rights to create derivative works that combine multiple Artworks (whether owned by you or by others) into a unified product or franchise

4.4 Sublicensing

You may grant a sublicense of your Commercial Use rights to a third party (for example, a manufacturer producing a product that incorporates your Artwork) provided that:

The sublicense is in writing
The sublicense terminates automatically when your ownership of the NFT terminates or when the relevant calendar-year cap is reached
The sublicensee is bound by all of the conditions in Section 4.2 and the prohibitions in Sections 5 and 6 of this Framework
You remain primarily responsible for any breach of this Framework by your sublicensee
Sublicensing of any rights in the Brand or the Music Hall of Fame Club name is expressly forbidden

4.5 Fan Art and Non-Commercial Creative Works

Notwithstanding Sections 4.1 through 4.4, fan art, personal creative works, and other non-commercial creative expression based on the Artwork are permitted and are not subject to the Commercial Use cap or conditions, provided that they remain genuinely non-commercial. If a fan-art creator subsequently sells, licenses, or otherwise commercializes the work, the Commercial Use cap and conditions apply from the point of commercialization forward.

We want creative expression in the Music Hall of Fame Club community to thrive. The cap and conditions in this Section 4 are intended to govern actual commercial activity, not to discourage genuine creative engagement.

5. Prohibited Uses

The following uses of any Artwork are prohibited regardless of any other provision of this Framework, and constitute material breach of the License:

Use in connection with hate speech, harassment, discrimination, or content that demeans or attacks individuals or groups based on race, ethnicity, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic
Use in connection with violence, threats, or content that promotes or glorifies violence
Use in connection with sexual or sexually explicit content, pornography, or content that sexualizes minors
Use in connection with illegal activity of any kind, including the sale or promotion of illegal goods or services
Use in connection with any political campaign, advocacy organization, or partisan political content (whether endorsing or opposing) that creates the impression of association between the Brand and a political position
Use that is defamatory, fraudulent, or that knowingly contains false statements of fact about any person or entity
Use to train, fine-tune, or otherwise improve any artificial intelligence, machine learning, or generative AI model, regardless of whether the use is commercial or non-commercial, and regardless of whether the use is by the Holder, a third party, or any service that the Holder has authorized to access the Artwork. AI training rights are reserved entirely to Jammin Alpacas LLC. This prohibition applies to the Holder, to any third party, and to any aggregator, scraper, or service that may otherwise have access to the Artwork
Use to create counterfeit Music Hall of Fame Club NFTs or counterfeit merchandise, or to misrepresent the origin or authenticity of any digital or physical good
Use that infringes the intellectual property, privacy, or publicity rights of any third party

6. Brand Protection

The names "Music Hall of Fame Club" and "Jammin' Alpacas" (and any future Collection names), together with any associated logos, slogans, and trade dress, are the property of Jammin Alpacas LLC. Trademark applications for these names have been filed with the United States Patent and Trademark Office.

Holders may not:

Use any element of the Brand in commerce, including in product names, brand names, advertising, or marketing, without express written permission from Jammin Alpacas LLC
Register or attempt to register any domain name, social media handle, trademark, or business name that incorporates any element of the Brand
Use the Brand in a manner that suggests official endorsement, sponsorship, partnership, or affiliation with Jammin Alpacas LLC
Use the Brand in a manner that is likely to confuse, mislead, or deceive any third party

Holders may:

Refer to the specific Artwork they own by its commonly used identifier (for example: "Jammin' Alpaca #1234") in connection with Commercial Use permitted under Section 4
Identify themselves as a member of the Music Hall of Fame Club community in their personal capacity (for example, in a personal social media bio)

7. Transfer of NFTs

You may sell, transfer, gift, or otherwise dispose of your NFT on any compatible secondary marketplace, subject to the marketplace's terms and applicable law.

Upon transfer of the NFT:

Your rights under this Framework with respect to that NFT terminate automatically and immediately
The new Holder receives, automatically and without further action, the rights granted in this Framework applicable to the relevant Collection
Any sublicenses you have granted under Section 4.4 terminate automatically
Any Commercial Use cap accrued during your ownership in the current calendar year does not carry forward; the new Holder begins the cap calculation fresh from the date of transfer
Derivative works you created during legitimate ownership remain in existence and you may continue to enjoy them in their then-existing form, but you may not expand, reproduce, distribute, or commercialize them after transfer; the cessation of your rights in the underlying Artwork applies prospectively to all uses of any derivative works

8. Termination and Revocation

This License remains in effect with respect to a particular NFT only while you own that NFT and only while you remain in compliance with this Framework.

Jammin Alpacas LLC may suspend or terminate your rights under this Framework if you breach any of its terms. Before terminating, Jammin Alpacas LLC will, where reasonable, provide you with written notice of the alleged breach and a thirty (30) day opportunity to cure. For breaches that cannot be cured (such as past distribution of prohibited content), or for repeat or willful breaches, Jammin Alpacas LLC may terminate immediately without a cure period.

Upon termination of your rights under this Framework with respect to an NFT:

Your Personal Use license under Section 3 terminates
Your Commercial Use license under Section 4 terminates
You must cease all use of the Artwork (other than continued ownership of the underlying NFT, which is unaffected)
You must remove infringing content from any platform you control
Jammin Alpacas LLC may pursue takedowns under the U.S. Digital Millennium Copyright Act, common-law trademark enforcement, or any other applicable remedy

Termination of license rights does not divest you of ownership of the NFT itself, which remains recorded on-chain in your wallet. The NFT is yours; the right to use the Artwork commercially is what is forfeited.

9. No Endorsement; No Partnership

Nothing in this Framework, and nothing in your ownership of an NFT, creates a partnership, joint venture, agency, employment, or franchise relationship between you and Jammin Alpacas LLC. Holders are independent third parties who have been granted a limited license to use Artwork.

Jammin Alpacas LLC does not endorse, sponsor, or promote any specific Holder, Holder-created merchandise, Holder-created derivative works, or Holder-led commercial activity, except to the extent of formal written agreements that may be entered into separately.

10. CC0 / Public Domain Disclaimer

The Artwork associated with Music Hall of Fame Club NFTs is not released under any Creative Commons license, is not placed in the public domain, and is not "CC0." All rights not expressly granted in this Framework are reserved.

11. Membership Benefits

Ownership of a Music Hall of Fame Club NFT may provide access to community experiences, gated content, member-only events, discounts, and other benefits across the Music Hall of Fame Club ecosystem. These benefits:

Are not guaranteed
May change, expand, or be discontinued at any time
Do not create contractual rights beyond the rights expressly granted in this Framework and in the Music Hall of Fame Club Terms of Use
Are conditioned on your continued compliance with this Framework, the Terms of Use, and the Community Guidelines

12. Governing Law and Dispute Resolution

This Framework is governed by the dispute resolution and governing law provisions set forth in the Music Hall of Fame Club Terms of Use, which are incorporated here by reference. In the event of any inconsistency between this Framework and the Terms of Use with respect to dispute resolution or governing law, the Terms of Use control.

13. Updates to This Framework

Jammin Alpacas LLC may update this Framework from time to time. Updates apply prospectively from the effective date of the update. Updates do not retroactively revoke rights that you exercised in good faith and in compliance with the version of the Framework that was in effect at the time of the exercise.

For Commercial Use that is ongoing at the time of an update (for example, an active product line manufactured under Section 4), Jammin Alpacas LLC will provide a reasonable transition period of not less than ninety (90) days before applying any new restrictions, except where the update is required by law, regulation, or court order, in which case the update applies immediately.

14. Severability; Survival

If any provision of this Framework is held to be invalid or unenforceable, the remaining provisions remain in full force and effect. Sections 2 (ownership of underlying IP), 5 (prohibited uses), 6 (Brand), 8 (termination effects), and 12 (dispute resolution) survive any termination of your rights under this Framework.

PART II — COLLECTION SCHEDULES

Schedule A — The Jammin' Alpacas Collection

This Schedule A governs NFTs issued under the Jammin' Alpacas Collection, the Founding Membership Community of the Music Hall of Fame Club.

A.1 Collection Identification

A.2 Collection-Specific Modifications to the Framework

The Framework Terms in Part I apply to the Jammin' Alpacas Collection without modification, except as expressly stated below:

(a) Membership Benefit. Ownership of a Jammin' Alpacas NFT grants membership in the Music Hall of Fame Club, with benefits as described in the Music Hall of Fame Club Terms of Use and on the Music Hall of Fame Club website.

(b) Royalty. Secondary marketplace transfers of Jammin' Alpacas NFTs are subject to a 2.5% royalty payable to Jammin Alpacas LLC, where supported by the marketplace. Royalty enforcement is marketplace-dependent; some marketplaces honor the royalty mechanism, others have made royalties optional.

(c) Mystery Box Mechanics. Jammin' Alpacas NFTs are revealed through Mystery Boxes as described on the Jammin' Alpacas website and in the Music Hall of Fame Club Terms of Use. Holders acknowledge the randomized nature of reveals and accept that no refunds, exchanges, or substitutions are available based on dissatisfaction with a revealed Jammin' Alpaca.

A.3 No Other Modifications

No other terms of the Framework are modified by this Schedule A. All Framework Terms apply in full to the Jammin' Alpacas Collection.

Future Collection Schedules

When Jammin Alpacas LLC issues additional NFT collections under the Music Hall of Fame Club, those collections will be governed by the Framework in Part I as modified by a new Collection Schedule (Schedule B, Schedule C, and so forth) added to this document. Holders of any Music Hall of Fame Club NFT — current or future — will be subject to the same Framework, ensuring consistency across the ecosystem.
